_module_preset=&#8221;default&#8221; text_font=&#8221;Open Sans||||||||&#8221; text_text_color=&#8221;#242424&#8243; text_font_size=&#8221;16px&#8221; text_orientation=&#8221;justified&#8221; custom_margin=&#8221;0px||||false|false&#8221;]<\/p>\n<p>Las sociedades extranjeras pueden optar por constituir una sucursal en el pa\u00eds, entendidas como un establecimiento de comercio, abierto por una sociedad, dentro o fuera de su domicilio, para el desarrollo de los negocios sociales o parte de ellos, administrado por un mandatario con facultad para representarla.<\/p>\n<p>Es importante tener en cuenta que, aunque desde la \u00f3ptica comercial las sucursales son una prolongaci\u00f3n de la sociedad domiciliada en el exterior, para efectos tributarios son personas diferentes.<\/p>\n<p>Sobre el particular, la autoridad tributaria en Colombia ha se\u00f1alado en su doctrina:<\/p>\n<p>[\/et_pb_text][et_pb_testimonial quote_icon=&#8221;off&#8221; _module_preset=&#8221;default&#8221; text_font=&#8221;Open Sans||||||||&#8221; text_text_color=&#8221;#242424&#8243; text_font_size=&#8221;16px&#8221; text_orientation=&#8221;justified&#8221; custom_margin=&#8221;0px||||false|false&#8221;]<\/p>\n<p>Otra opci\u00f3n que pudieran considerar las sociedades extranjeras para el desarrollo de negocios en Barranquilla \u2013 Colombia, es la constituci\u00f3n de subsidiarias o filiales bajo el tipo societario de Sociedades por Acciones Simplificadas S.A.S., que pueden ser constituidas con uno o m\u00e1s accionistas.<\/p>\n<p>La diferencia entre una y otra figura, es decir, entre sucursales de sociedades extranjeras y S.A.S., radica b\u00e1sicamente en que esta \u00faltima goza de mayor facilidad para su constituci\u00f3n, toda vez que no requiere escritura p\u00fablica, en la medida que se podr\u00e1 constituir a trav\u00e9s de documento privado, conllevando que sus gatos de registro sean menores.<\/p>\n<p>Otra diferencia sustancial entre ambas figuras radica en la responsabilidad, toda vez que las S.A.S., por tratarse de una persona jur\u00eddica distinta de sus socios\/casa matriz, otorga mayor protecci\u00f3n al patrimonio de sus accionistas.<\/p>\n<p>[\/et_pb_text][et_pb_text _builder_version=&#8221;4.6.1&#8243;
